Effective Date: June 1, 2025 · theghostops.com
Welcome to GhostOps. By purchasing, accessing, or using GhostOps services, you agree to these Terms of Service. If you do not agree, do not use the services.
1 Services
GhostOps provides automation, AI integration, operational consulting, CRM configuration, workflow development, API integrations, technical implementation, and related managed services. Services may include modifications to third-party software systems, databases, workflows, CRMs, APIs, dashboards, and operational infrastructure.
2 Authorization
By using GhostOps services, you authorize GhostOps to:
- Access connected systems and accounts as necessary
- Configure integrations and connect APIs
- Create or modify workflows and automations
- Import and export data on your behalf
- Configure CRM properties and operational settings
- Modify system settings necessary to deliver services
You represent and warrant that you have full legal authority to grant such access to all systems and accounts provided. You agree to indemnify and hold GhostOps harmless from any claim arising from a misrepresentation of that authority.
3 Automation & AI Risks
You acknowledge that automation systems and AI technologies inherently involve operational and data-related risks. Potential risks may include:
- Workflow interruptions or synchronization failures
- Duplicate records or delayed processing
- Data overwrite or reporting discrepancies
- API failures or unexpected automation behavior
- AI-generated inaccuracies or outputs requiring human review
GhostOps does not guarantee uninterrupted, secure, or error-free operation of any service. AI-generated outputs are not a substitute for professional judgment and must be reviewed by a qualified human prior to reliance.
4 Client Responsibilities
You are solely responsible for:
- Maintaining current backups of all critical business data and systems
- Reviewing and validating all automated outputs and AI-generated content
- Maintaining account security for all connected platforms
- Ensuring compliance with all applicable laws and regulations
- Verifying workflows and integrations prior to reliance in production
GhostOps is not responsible for business decisions made based on automated or AI-generated outputs. You assume all risk for decisions made without adequate human review.
5 Intellectual Property
GhostOps retains all intellectual property rights in any automation, workflow, integration, system, tool, script, configuration, or process created by GhostOps, whether created independently or in connection with your engagement.
GhostOps may grant you a limited, non-exclusive, non-transferable license to use such work product solely for your internal business purposes during the term of your engagement.
You retain full ownership of all your business data, even if that data passes through GhostOps systems in connection with the services. GhostOps does not claim any ownership interest in your data and will not use it for any purpose other than providing services to you.
6 Data & Confidentiality
GhostOps will handle your data with reasonable care and will not sell, share, or disclose your data to third parties except as necessary to provide services or as required by law.
GhostOps retains no client data beyond what is operationally necessary. Upon termination of services, or upon your written request, GhostOps will purge all logs and client data from its systems within a commercially reasonable timeframe.
Both parties agree to keep confidential any non-public, proprietary, or sensitive information disclosed in connection with the services.
7 Third-Party Platforms
GhostOps may integrate with third-party platforms including but not limited to HubSpot, Make.com, Stripe, and Supabase. GhostOps is not responsible for outages, pricing changes, API modifications, security incidents, feature removals, or downtime caused by third-party providers.
You are responsible for maintaining valid subscriptions and access to all third-party platforms required for your services.
8 Indemnification
You agree to indemnify, defend, and hold harmless GhostOps and its officers, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the services; (b) your violation of these Terms; (c) your misrepresentation of authority to access any system or account; (d) your failure to maintain adequate backups; or (e) decisions made based on AI-generated or automated outputs without appropriate human review.
9 Limitation of Liability
To the maximum extent permitted by applicable law, GhostOps shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, business interruption, data loss, overwritten records, operational disruption, AI inaccuracies, or integration failures, even if GhostOps has been advised of the possibility of such damages.
GhostOps' total cumulative liability to you for any claim arising out of or relating to these Terms or the services shall not exceed the total fees paid by you to GhostOps during the three (3) calendar months immediately preceding the event giving rise to the claim.
10 No Warranty
Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. GhostOps does not warrant that services will be uninterrupted, secure, or error-free.
11 Payments & Subscriptions
Subscription services automatically renew on a recurring basis. You may cancel at any time; cancellation takes effect at the end of your current billing period. For example, if you are billed on the 1st of the month and cancel on the 2nd, your access continues through the end of that billing period, and no further charges will be made thereafter.
All fees are non-refundable unless otherwise expressly stated. Failure to maintain timely payment may result in suspension or termination of services.
12 Termination
GhostOps may suspend or terminate services at any time for nonpayment, abuse, illegal activity, security risks, or misuse of systems. Upon termination, access to managed systems, dashboards, and deliverables may be revoked. Data purge requests will be honored per Section 6.
13 Dispute Resolution & Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions. Any dispute, claim, or controversy arising out of or relating to these Terms or the services shall be resolved by binding arbitration in Knox County, Tennessee. The arbitration shall be conducted by a single arbitrator under the rules of the American Arbitration Association (AAA). Judgment on the arbitration award may be entered in any court of competent jurisdiction.
Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.
14 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.
15 Entire Agreement
These Terms, together with the Privacy Policy and Master Service Agreement, and any checkout consent language agreed to at the time of purchase, constitute the entire agreement between you and GhostOps with respect to the services and supersede all prior or contemporaneous agreements, representations, or understandings.
16 Acceptance
By purchasing services, submitting onboarding information, or using GhostOps services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
